1. Definitions

• "Service" means consulting, training, or advisory services provided by Peranaq Edge
• "User" or "Client" means any individual or organisation accessing our website or engaging our services
• "We", "Us", "Our" refers to Peranaq Edge Pte. Ltd., registered in Singapore
• "Content" means all materials, reports, deliverables, and information produced as part of an engagement
• "Agreement" means these Terms and Conditions together with any applicable engagement-specific agreement

2. Acceptance of Terms

By using our website or engaging our services, you confirm you are at least 18 years old and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organisation, you confirm you have the authority to bind that organisation to these terms.

3. Service Description

Peranaq Edge provides AI integration consulting, feasibility assessment, employee AI training, and embedded AI solutions consulting to businesses and organisations primarily in Singapore. Service availability may vary and is subject to capacity and agreement of specific engagement terms.

4. User Responsibilities

• Providing accurate and complete information relevant to the engagement
• Using our services only for lawful purposes
• Not reproducing, distributing, or commercialising our deliverables without written consent
• Maintaining the confidentiality of any proprietary methodologies or materials shared during engagements
• Complying with all applicable laws including Singapore's PDPA when sharing data with us

5. Intellectual Property

All methodologies, frameworks, templates, and proprietary tools used in delivering our services remain the intellectual property of Peranaq Edge. Deliverables produced specifically for a client engagement (reports, configured systems, documentation) are transferred to the client upon full payment. General methodologies remain our property. You are granted a non-exclusive, non-transferable licence to use client-specific deliverables for your internal business purposes.

6. Payment Terms

• All fees are quoted in Singapore Dollars (SGD) and are inclusive of GST where applicable
• Payment terms are agreed at the commencement of each engagement
• Invoices are due within 14 days of issue unless otherwise specified
• Engagements will not commence until initial payment or deposit has been received
• Refund eligibility is assessed on a case-by-case basis and subject to the stage of engagement at the time of request

7. Service-Specific Terms

AI Integration Feasibility Study

The study is delivered over four to six weeks. The final report and all associated documentation are provided to the client on completion. The study does not constitute a commitment by either party to proceed to implementation.

Applied AI Learning Pathway

Training is delivered over six to nine weeks across three phases. Participant minimum numbers apply. We reserve the right to reschedule sessions with reasonable notice in the event of circumstances outside our control.

Embedded AI Solutions Consulting

Scope, timeline, and deliverables are defined and agreed in writing at the outset. Changes to agreed scope are subject to a change request process and may affect timeline and fees.

8. Disclaimers

Our services are provided in good faith and based on the information available at the time of engagement. We do not warrant that AI solutions will produce specific commercial outcomes. Recommendations in feasibility reports are based on analysis and professional judgement but do not constitute a guarantee of results.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, Peranaq Edge's total liability arising from any engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or punitive damages arising from the use of our services or deliverables.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during an engagement. Confidentiality obligations survive the termination of any engagement agreement for a period of three years.

11. Termination

Either party may terminate an engagement with 14 days' written notice. Fees for work completed up to the date of termination remain payable. Termination does not affect either party's obligations with respect to confidentiality, intellectual property, or payment of outstanding amounts.

12. Dispute Resolution

Any dispute arising from these terms or any engagement shall first be addressed through good faith negotiation. If unresolved within 30 days, the dispute shall be referred to mediation under the Singapore Mediation Centre. These terms are governed by and construed in accordance with the laws of Singapore. The courts of Singapore have non-exclusive jurisdiction.

13. General Provisions

• Entire Agreement: These terms, together with any engagement-specific agreements, constitute the entire agreement between the parties
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force
• Waiver: Failure to enforce any provision does not constitute a waiver of that right
• Assignment: You may not assign your rights under these terms without our prior written consent

14. Changes to Terms

We may update these terms from time to time. Changes are posted on this page with an updated date. Continued use of our services after a change constitutes acceptance of the revised terms.
